Terms of Service - Including API
Effective Date: 2026-06-24
These Terms of Service ("Terms") form a legally binding agreement between you ("User", "you" or "your") and Ticker Picker ApS, a private limited company (anpartsselskab) registered in Denmark under company registration number (CVR-nr.) 46270428, email slicker.ticker.picker@gmail.com ("Ticker Picker", "we", "us" or "our"). Ticker Picker operates the website and the tools made available on it, including under the names "Ticker Picker" and "Slicker Ticker Picker" (together, the "Service").
By creating an account, by clicking to accept, or by accessing or using any part of the Service, you confirm that you have read, understood and agree to be bound by these Terms together with our Privacy Policy, Cookie Policy and Website Terms of Use, which are incorporated by reference. If you do not agree, you must not use the Service. The version of these Terms in force is the one published on this page when you access or use the Service.
Important risk and "no advice" notice: The Service is an information and analysis tool only. It does NOT provide investment advice, financial advice, tax advice or any personal recommendation, and it is not a regulated financial service. All figures, metrics, value estimates, price targets, projections and rankings are produced automatically from third-party and public data and may be wrong, incomplete or out of date. Investing involves the risk of loss, including loss of your entire investment. Past performance is not a reliable indicator of future results. You are solely responsible for your own decisions and should do your own research and consult a licensed professional before acting. See sections 7, 8 and 9.
1. Definitions
In these Terms: "Service" has the meaning above and includes the website, the stock-screening and charting tools, the data, value estimates and projections, the blog, the contact features, any application programming interface ("API") once made available, and any related features. "Content" means all data, text, metrics, charts, projections, rankings, software, designs and other materials made available through the Service. "Output" means any result generated for you by the Service, including screening results, value estimates, estimated returns, price projections and charts. "Consumer" means a natural person acting wholly or mainly outside their trade, business, craft or profession. "Business User" means any User that is not a Consumer. "Subscription" means a paid plan (Basic, Pro, Enterprise or any future paid tier). "Affiliate" means a User participating in our affiliate programme under section 13.
2. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction, if higher) and legally capable of entering into a binding contract. If you use the Service on behalf of an entity, you represent that you are authorised to bind that entity, and "you" includes that entity. You may not use the Service if you are located in, or are a resident or national of, any country or territory subject to comprehensive EU, Danish, UN or other applicable sanctions, or if you are on any applicable restricted-party list.
3. The Service and the Plans We Offer
The Service lets you screen, filter, sort and compare publicly listed companies using metrics such as price, valuation multiples, dividend data, growth figures, value estimates and estimated returns, and lets you view historical price charts and forward-looking projections. We also operate a blog and a contact function, and we may make an API available to subscribers in the future.
We offer a free, advertising-supported plan with limited data, history and functionality, and one or more paid Subscriptions that may include longer price history, more results per screen, more projection data, higher daily usage limits, an ad-free experience and (once available) API access. The specific features, limits and prices of each plan are those displayed in the Service at the time you choose or purchase a plan. The Service is provided for general informational and educational purposes and as a research aid only. We may add, change, suspend or remove features, data fields, plans or limits, and we do not warrant that any particular feature, data point, company or metric will be available at any given time.
4. Accounts and Security
Some features require an account. You agree to provide accurate, current and complete information and to keep it up to date. You are responsible for keeping your login credentials confidential and for all activity under your account, whether or not authorised by you, and you must notify us without undue delay if you suspect any unauthorised access. Accounts are personal to you; you may not share, sell, lend or transfer your account or credentials, or allow several people to use one account, except on a plan sold as multi-user or enterprise. We may suspend or restrict accounts as set out in section 17.
5. Fees, Billing, Taxes and Automatic Renewal
Prices for Subscriptions are those shown in the Service at the point of purchase and, for Consumers, are shown exclusive of applicable VAT. The applicable VAT will be calculated and displayed at checkout. Before you complete a purchase we provide the pre-contractual information required by Danish and EU consumer law, including the main characteristics of the Service, the total price, the duration and renewal terms, and information about the right of withdrawal and how to complain.
Payments are processed by third-party payment providers (currently Stripe). By purchasing a Subscription you authorise us and our payment providers to charge your chosen payment method for the applicable fees, including on each renewal. VAT is calculated and applied automatically based on your location and status; where you are a business in another EU country and provide a valid VAT identification number, the reverse-charge mechanism may apply and you are responsible for accounting for VAT in your own country.
Subscriptions renew automatically for successive periods (monthly or annually, as selected) at the then-current price, unless cancelled at least 24 hours before the end of the current period. You can cancel at any time through your account or your payment provider's billing portal; cancellation takes effect at the end of the current paid period and you keep access until then. Except where required by mandatory law or section 6, fees already paid are non-refundable. Nothing in this section limits a Consumer's mandatory statutory right to terminate a continuing contract under the Danish Consumer Contracts Act (forbrugeraftaleloven). If a payment fails or is reversed, we may retry it, suspend paid features, downgrade your account to the free plan and/or restrict access until the amount due is paid. We may change prices in accordance with section 23.
6. Right of Withdrawal for Consumers (14-day Cooling-off)
If you are a Consumer, you have the right to withdraw from a Subscription within 14 days of entering into it, without giving any reason, under the Danish Consumer Contracts Act (forbrugeraftaleloven) implementing the EU Consumer Rights Directive. To exercise the right, inform us of your decision by a clear statement (for example by email or via our contact page) before the 14-day period expires. You may use the standard EU model withdrawal form but are not required to.
Because the Service is supplied digitally and access is normally provided immediately, the following applies: by purchasing a Subscription and obtaining access during the 14-day period, you expressly request that we begin supplying the Service before the end of the withdrawal period, and you acknowledge that (a) where the Service is supplied as digital content, you lose the right of withdrawal once supply has begun with your prior express consent and this acknowledgement, and (b) where the Service is treated as a service, if you withdraw during the period you will pay an amount proportionate to what has been supplied up to the moment you inform us. Subject to the foregoing, we will reimburse any amount due to you without undue delay and within 14 days of being informed, using the same means of payment you used.
7. No Investment Advice and No Financial Services
The Service provides general information, data and automated analytical tools only. The Service does not constitute, and must not be relied upon as, investment advice, a personal recommendation, or financial, legal, accounting or tax advice to buy, sell, hold or refrain from dealing in any financial instrument.
Ticker Picker is not an investment firm, investment adviser, broker, portfolio manager or other regulated financial undertaking, is not authorised or supervised by the Danish Financial Supervisory Authority (Finanstilsynet) or any equivalent authority, and does not provide any service requiring such authorisation under Danish law, the EU Markets in Financial Instruments Directive (MiFID II) or otherwise. We do not assess the suitability or appropriateness of any instrument for you, we do not know your financial situation, objectives or risk tolerance, and no fiduciary or advisory relationship is created. You make all decisions independently and at your own risk, and we recommend you consult a licensed financial adviser and verify all data with official sources before making any financial decision.
8. Data, Output, Projections and Forward-looking Statements
Stock and company data is obtained from third-party providers and publicly available sources. While we make reasonable efforts, we do not warrant that any data or Output is accurate, complete, current, uninterrupted or error-free; data may be delayed, may contain errors or gaps, and may be revised or withdrawn by its source.
Value estimates, price targets, estimated returns and projections are produced automatically by models (including discounted-cash-flow and similar methods) that rely on assumptions and inputs that may prove incorrect. They are illustrative computations, not forecasts, promises or guarantees, and actual outcomes may differ materially. Past performance and historical or projected figures are not reliable indicators of future results, and no representation is made that any instrument will achieve any result shown.
To the extent any Output could be regarded as an "investment recommendation" within the meaning of the EU Market Abuse Regulation (Regulation (EU) No 596/2014) and Commission Delegated Regulation (EU) 2016/958, you acknowledge that: the information is produced by Ticker Picker ApS; it is generated automatically and is generic and identical for all users, and is not tailored to any individual; it is based on public and third-party data using the general methodology summarised in the Service; it is not independent investment research; and Ticker Picker does not, as part of operating the Service, take proprietary positions in the instruments covered. Where we become aware of a relevant conflict of interest, we will disclose it. Rankings and sorting are transparent: companies are ordered solely by the parameters and thresholds you select, using disclosed metrics; we do not apply hidden personalised recommendations.
9. Licence to Use the Service
Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable and non-sublicensable licence to access and use the Service and Output for your own personal, non-commercial use, or, for Business Users on an appropriate plan, for your own internal business use. This licence transfers no ownership and ends automatically when these Terms terminate or your access ends.
10. Acceptable Use and Prohibited Conduct
You agree to use the Service lawfully and in accordance with these Terms. You must not, and must not attempt to or permit any third party to:
- access, extract, scrape, crawl or copy data or Output by automated means, except through an API we have expressly authorised and within its limits;
- circumvent, disable or interfere with usage limits, rate limits, plan restrictions, security or access controls, or use multiple accounts to evade limits;
- resell, redistribute, publish or commercially exploit the data or Output, or incorporate it into any product or service that competes with the Service;
- reverse engineer, decompile or disassemble any part of the Service, or attempt to derive its source code, models or methodologies, except where this restriction is prohibited by mandatory law;
- upload or transmit malware, or carry out any attack on or unauthorised testing of the Service or its infrastructure, including denial-of-service attacks;
- use the Service to manipulate markets, disseminate false or misleading information, or for insider dealing, money laundering, fraud or any other unlawful purpose;
- infringe our or any third party's intellectual property, privacy or other rights, or breach any applicable law, sanctions or export controls.
We may investigate suspected breaches and cooperate with authorities. Breach of this section may lead to suspension or termination under section 17 and may give rise to liability on your part.
11. API-Specific Terms
If and when we make an API available, additional terms apply. We may issue API keys, which you must keep confidential and must not share. API use is subject to the rate limits and quotas specified in our documentation, and you must not exceed them or send abusive or malicious requests. You must not resell or redistribute API data, integrate it into a competing service, or use it for unauthorised high-frequency or automated trading. All data and Output remain our property or that of our licensors; you receive only a limited licence to use them as permitted. We may monitor, throttle, suspend or revoke API access for breach or risk, and where you process personal data via the API you are responsible for compliance with the GDPR and other applicable data-protection laws.
12. Advertising on the Free Plan
The free plan is supported by advertising, and your viewing of advertising forms part of the consideration for free, limited access. We and our advertising partners may display advertising in the Service, and the use of ad-blocking or similar technology may limit or prevent access to free features. We are not responsible for the content, products or services of third-party advertisers, and any dealings you have with advertisers are solely between you and them.
13. Affiliate and Referral Programme
If you join our affiliate programme, these terms apply in addition to the rest of these Terms. We issue you a unique promotional code, and you may earn a commission (in the amount and on the terms published in the Service or your affiliate dashboard) for valid referrals. Commissions are payable only for genuine, completed and non-refunded payments by customers who validly used your code, and not for self-referrals or your own purchases.
To receive payouts you must complete onboarding with our payment provider's connected-account service (currently Stripe Connect) and provide accurate information; you are solely responsible for receiving payouts and for declaring and paying any taxes on amounts you receive. You act as an independent party, not our employee, agent or partner, and must not make any representation on our behalf. We pay accrued commissions periodically (currently monthly) provided your balance meets the minimum payout threshold and any minimum required by our payment provider; amounts below the threshold roll over to later periods. If, when your account is closed, accrued amounts cannot be paid out because onboarding is incomplete or the amount is below the applicable minimum transfer amount, you acknowledge that such amounts may be forfeited, and we will record this. We may withhold, freeze, reverse or cancel commissions we reasonably believe arise from fraud, abuse or breach. You must promote the Service honestly and lawfully, comply with the Danish Marketing Practices Act (markedsføringsloven) and applicable advertising and anti-spam rules, disclose your affiliate relationship where required, and not misuse our names, logos or trademarks. We may change, suspend or terminate the programme or your participation at any time on reasonable notice, or immediately for breach or suspected fraud.
14. Intellectual Property and Feedback
The Service and all Content, including its software, source code, design, look and feel, text, databases, the selection, arrangement and compilation of data, our methodologies and our names, logos and trademarks, are owned by Ticker Picker ApS or our licensors and are protected by intellectual-property laws. Underlying market and company data may belong to third-party data providers. Except for the limited licence in section 9, no rights are granted to you, and you may not use our names, logos or trademarks without our prior written consent. If you send us ideas, suggestions or other feedback, you grant us a perpetual, worldwide, irrevocable, royalty-free licence to use it for any purpose without obligation or compensation to you.
15. Third-party Services and Links
The Service relies on, and may link to, third-party services and content, including payment providers (such as Stripe), data providers and advertising partners. Your use of those services is subject to their own terms and privacy policies, and we are not responsible for their availability, content, acts or omissions. Links to third-party websites are provided for convenience only and do not imply endorsement.
16. Privacy and Cookie Policy
This Privacy and Cookie Policy explains how Ticker Picker ApS collects, uses, shares and protects your personal data when you use the Service, and the rights you have. It forms part of these Terms and is provided in accordance with the EU General Data Protection Regulation (Regulation (EU) 2016/679, "GDPR") and the Danish Data Protection Act (databeskyttelsesloven). Terms defined elsewhere in these Terms have the same meaning here.
16.1 Who is responsible for your data
The data controller is Ticker Picker ApS, CVR-nr. 46270428, Denmark, email slicker.ticker.picker@gmail.com. We decide why and how your personal data is processed. If you have any question about this policy or wish to exercise your rights, contact us at that email.
16.2 The personal data we collect
We collect the following categories of personal data:
- Account data that you provide when you register or manage an account, such as your email address, your password (which we store only in hashed form), your chosen plan, and records of your acceptance of these Terms (including the version accepted and the time of acceptance).
- Payment and billing data that arises when you buy a Subscription. Payments are handled by our payment provider (currently Stripe); we do not store your full card number. We receive limited billing and transaction information, such as the fact, amount and status of a payment, your billing country, and the information needed for invoicing and VAT.
- Affiliate data, if you join our affiliate programme, including the onboarding and payout information you provide to our payment provider's connected-account service (currently Stripe Connect), and records of referrals and commissions.
- Usage and technical data generated when you use the Service, such as your IP address, the number of requests you make (used to enforce plan limits), the features and pages you use, approximate location derived from your IP address, and standard device, browser and log information together with timestamps.
- Data stored in your browser and cookies, including information stored in your browser's local storage to keep you signed in and to remember your choices, and cookies and similar technologies used by us and by our advertising partners, as described in the Cookie Policy in section 16.12.
You are not obliged to provide personal data, but some data (such as an email address or payment information) is necessary to create an account or buy a Subscription, and without it we cannot provide those parts of the Service.
16.3 Why we use your data and our legal bases
We process your personal data for the following purposes and on the following legal bases under Article 6(1) GDPR:
- To provide the Service and your account – to register and authenticate you, deliver the tools, data and Output, and operate the free and paid plans. Legal basis: performance of a contract with you (Article 6(1)(b)).
- To process payments, subscriptions and affiliate payouts, and to invoice you. Legal basis: performance of a contract (Article 6(1)(b)); and compliance with a legal obligation for accounting and tax records (Article 6(1)(c)).
- To show advertising on the free plan, including through our advertising partners. Legal basis: your consent for the use of advertising cookies and personalised advertising where required (Article 6(1)(a)); and, where permitted, our legitimate interest in funding the free plan through non-personalised, contextual advertising (Article 6(1)(f)). See section 16.4.
- To keep the Service secure and prevent abuse – including enforcing rate limits and usage quotas, detecting and preventing fraud, and protecting the Service, our users and third parties. Legal basis: our legitimate interest in the security and integrity of the Service (Article 6(1)(f)).
- To communicate with you about your account, changes to the Service or these Terms, and support requests. Legal basis: performance of a contract (Article 6(1)(b)) and our legitimate interest in operating the Service (Article 6(1)(f)).
- To comply with legal obligations and to establish, exercise or defend legal claims. Legal basis: legal obligation (Article 6(1)(c)) and legitimate interest (Article 6(1)(f)).
Where we rely on consent, you may withdraw it at any time (see section 16.8); withdrawal does not affect the lawfulness of processing carried out before you withdrew.
16.4 Advertising and our advertising partners
The free plan is supported by advertising. To serve and measure ads we work with third-party advertising partners, currently Google AdSense and Sovrn, together with the demand partners they work with. These partners use cookies and similar device identifiers to show you ads, to limit how often you see the same ad, to measure ad performance, and to detect and prevent fraud. Depending on your choices, ads may be personalised (based on a profile about you) or non-personalised (based only on the page content and general information).
For visitors located in the European Economic Area, the United Kingdom and Switzerland, we ask for your consent to the use of advertising cookies and personalised advertising through a Google-certified Consent Management Platform based on the IAB Europe Transparency and Consent Framework. You can change or withdraw your choices at any time through the "Privacy settings" link on the site. If you use a paid, ad-free plan, we do not load advertising and no advertising cookies are set for you.
You can learn more about how our partners use data, and how to control it, here:
- Google – how Google uses information from sites that use its services: policies.google.com/technologies/partner-sites; Google Privacy Policy: policies.google.com/privacy; and your Google ad settings: adssettings.google.com.
- Sovrn – Sovrn Privacy Policy: www.sovrn.com/privacy-policy.
- You can also opt out of interest-based advertising from many companies at youronlinechoices.eu.
16.5 Who we share your data with
We do not sell your personal data. We share it only with providers who process it on our behalf or who are independently responsible for their own processing, including: our payment provider (currently Stripe, including Stripe Connect for affiliate payouts); our advertising partners (currently Google and Sovrn, as described in section 16.4); our hosting, infrastructure and email providers; and our third-party market- and company-data providers. We may also disclose data where required by law, to enforce these Terms, or to protect the rights, property or safety of Ticker Picker, our users or others. Where a provider processes personal data on our behalf, we put an appropriate data-processing agreement in place.
16.6 Transfers outside the EEA
Some of our providers (including Google, Sovrn and Stripe) are established in, or process data in, countries outside the European Economic Area, such as the United States. Where personal data is transferred outside the EEA, we rely on appropriate safeguards recognised under the GDPR, such as the European Commission's Standard Contractual Clauses and/or the provider's certification under the EU–U.S. Data Privacy Framework. You can ask us for more information about these safeguards using the contact details in section 16.1.
16.7 How long we keep your data
We keep personal data only for as long as necessary for the purposes described in this policy. Account data is kept while your account is active and for a reasonable period afterwards; on deletion we remove or anonymise it as described in section 21. We retain accounting records in anonymised form for at least five years under the Danish Bookkeeping Act (bogføringsloven), and invoices as required by the Danish VAT Act (momsloven). Security and usage logs are kept for a limited period. We keep records of your consent and of your acceptance of these Terms for as long as necessary to establish, exercise or defend legal claims.
16.8 Your rights
Subject to the conditions and exceptions in the GDPR, you have the right to: obtain confirmation of, and access to, the personal data we hold about you; have inaccurate data rectified; have your data erased ("right to be forgotten"); restrict our processing; receive your data in a portable, machine-readable format and have it transmitted to another controller; and object to processing based on our legitimate interests, including objecting at any time to processing for direct-marketing and advertising-profiling purposes. Where we rely on your consent, you may withdraw it at any time without affecting the lawfulness of earlier processing.
To exercise any of these rights, contact us at slicker.ticker.picker@gmail.com. You also have the right to lodge a complaint with your local supervisory authority. In Denmark this is the Danish Data Protection Agency (Datatilsynet), Carl Jacobsens Vej 35, 2500 Valby, telephone +45 33 19 32 00, www.datatilsynet.dk.
16.9 Automated decisions and profiling
We do not make decisions that produce legal or similarly significant effects about you based solely on automated processing. Our screening results and Output are generated automatically but are the same for all users and are ordered only by the parameters you choose, as explained in section 8. Our advertising partners may use profiling to select personalised ads; you can decline this through the consent choices described in section 16.4.
16.10 Children
The Service is not directed at children. You must be at least 18 years old to use it (see section 2), and we do not knowingly collect personal data from anyone under that age. If you believe a minor has provided us with personal data, please contact us and we will delete it.
16.11 Changes to this Privacy and Cookie Policy
We may update this policy from time to time. Where changes are material we will give reasonable notice as described in section 23. The version in force is the one published on this page, and the effective date at the top of these Terms applies.
16.12 Cookie Policy
This Cookie Policy explains the cookies and similar technologies (including data stored in your browser's local storage) that we and our partners use, and how you can control them. We use them for three broad purposes: strictly necessary technologies that are required to run the Service and keep you signed in; functional technologies that remember your choices; and advertising technologies used by our partners to serve and measure ads on the free plan. Strictly necessary technologies do not require consent; advertising technologies are used only in accordance with the consent choices described in section 16.4, and are not used for paid, ad-free users.
| Name / technology | Provider | Purpose | Category | Typical duration |
|---|---|---|---|---|
| Authentication token (stored in local storage) | Ticker Picker | Keeps you signed in to your account between visits. | Strictly necessary | Up to 7 days |
| Terms-acceptance record | Ticker Picker | Remembers that, and when, you accepted these Terms so we do not ask again unnecessarily. | Strictly necessary | Persistent / server-side |
| Usage and rate-limit counters | Ticker Picker | Counts your daily requests to enforce the limits of your plan and to prevent abuse. | Strictly necessary | Reset daily |
| Consent strings (IABTCF_*) | Google-certified consent platform | Stores your advertising-consent choices so they can be applied and are not requested repeatedly. | Functional / consent | Up to 13 months |
| Google AdSense advertising cookies | Serve and measure ads on the free plan, limit ad frequency, and detect fraud; may be personalised depending on your consent. | Advertising | Varies (up to ~24 months) | |
| Sovrn and demand-partner advertising cookies | Sovrn and its partners | Serve and measure ads on the free plan and support the ad auction. | Advertising | Varies |
| Payment-security cookies | Stripe | Set during checkout to process your payment securely and help prevent fraud. | Strictly necessary | Varies |
You can manage advertising cookies at any time through the "Privacy settings" link on the site, and you can control or delete cookies through your browser settings; blocking strictly necessary technologies may stop parts of the Service from working. For interest-based advertising controls, see the links in section 16.4.
17. Suspension and Termination
You may stop using the Service at any time and may cancel a Subscription or request deletion of your account as described in these Terms. We may suspend, restrict or terminate your access to all or part of the Service, with or without notice as appropriate, if you breach these Terms, if we are required to do so by law, to protect the Service, other users or third parties, to address security or fraud risks, or for non-payment. Where reasonable and lawful we will give you notice and, for Consumers, act proportionately. On termination your licence ends and you must stop using the Service and any Output. Provisions that by their nature should survive termination (including sections 7, 8, 10, 14, 18, 19, 20, 21, 24 and 25) will survive.
18. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Service, the Content and the Output are provided "as is" and "as available", without warranties or representations of any kind, whether express, implied or statutory, including any implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, accuracy, completeness or non-infringement. We do not warrant that the Service will meet your requirements or that defects will be corrected. Nothing in this section affects the mandatory rights you have as a Consumer, including rights relating to the conformity of digital content and digital services under Danish law implementing the EU Digital Content Directive, which cannot be excluded or limited.
19. Limitation of Liability
Nothing in these Terms excludes or limits our liability where it would be unlawful to do so. In particular, we do not exclude or limit liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, for damage caused intentionally or by gross negligence (forsæt eller grov uagtsomhed), under the Danish Product Liability Act (produktansvarsloven), or for any other liability that cannot be excluded under mandatory Danish or EU law, including mandatory consumer-protection law.
Subject to the paragraph above, and to the maximum extent permitted by law: (a) we are not liable for any investment, trading or financial loss, lost profits, lost opportunities, loss of goodwill, loss of or corruption of data, or any indirect, incidental, special or consequential damages, howsoever arising and whether or not foreseeable; and (b) our total aggregate liability arising out of or in connection with the Service and these Terms, whether in contract, tort (including negligence), statute or otherwise, shall not exceed the greater of (i) the total fees you actually paid to us for the Service in the 12 months immediately before the event giving rise to the claim, or (ii) EUR 100. You acknowledge that the Service is an informational tool, that you alone decide whether and how to act on any Output, and that we are not responsible for the acts, omissions, accuracy or solvency of any third-party data provider, market, broker or counterparty.
20. Indemnification
If you are a Business User, you agree to indemnify and hold harmless Ticker Picker ApS and its owners, directors and personnel against any claims, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising out of or in connection with your breach of these Terms, your misuse of the Service, your infringement of any third-party or legal right, or your unlawful conduct. If you are a Consumer, you are responsible for loss we suffer that is caused by your breach of these Terms or your unlawful use of the Service, to the extent permitted by mandatory law, and no obligation in this section goes beyond what such law allows.
21. Account Deletion and Data Retention
You may request deletion of your account through the Service. To allow your subscription period and, where relevant, any affiliate payout cycle to complete, deletion may take effect after a short scheduled period rather than immediately, and we will tell you the scheduled date. Before deletion we will, on request and as required by the GDPR, provide you with an export of your personal data. After deletion we remove or anonymise your personal data in our active systems, except that we retain records we are legally required to keep: in particular, accounting records are retained in anonymised form for at least five years under the Danish Bookkeeping Act (bogføringsloven), and issued invoices are retained as required by the Danish VAT Act (momsloven). Our payment provider retains payment records under its own legal obligations. We also keep proof of your acceptance of these Terms for as long as necessary to establish, exercise or defend legal claims.
22. Force Majeure
We are not liable for any failure or delay in performing our obligations to the extent caused by events beyond our reasonable control, including outages or failures of internet, hosting, data, payment or other third-party services, power failures, cyber-attacks, strikes, acts of government, natural events, war or pandemics.
23. Changes to the Service and to These Terms
We may modify, update, suspend or discontinue the Service, any feature, plan or limit, and we may change prices, for valid reasons such as legal, technical, security or commercial developments. We may update these Terms from time to time. For material changes, and for price changes, we will give reasonable advance notice (and at least the notice required by applicable law - for price changes affecting Consumers, at least 30 days) by email, where we hold your address, and/or by a prominent notice in the Service. Changes take effect on the stated effective date; your continued use after that date constitutes acceptance. If you are a Consumer and do not accept a change, you may stop using the Service and cancel any Subscription before the change takes effect, and your mandatory statutory rights are unaffected.
24. Governing Law and Jurisdiction
These Terms and any non-contractual obligations arising out of or in connection with them are governed by the laws of Denmark, without regard to conflict-of-law rules. The competent Danish courts, with the City Court at our registered office (Retten i Helsingør) as the venue, shall have jurisdiction over any dispute. If you are a Consumer, this choice of law and jurisdiction does not deprive you of the protection of the mandatory consumer-protection rules of the country in which you are habitually resident, and you may also be entitled to bring or defend proceedings in the courts of your country of residence under applicable EU rules.
25. Complaints and Dispute Resolution
If you have a complaint, please contact us first at the email below so we can try to resolve it. If you are a Consumer resident in Denmark and we cannot resolve the matter, you may be able to bring it before the Danish Competition and Consumer Authority's Centre for Complaint Resolution (Center for Klageløsning) and, where relevant, the Consumer Complaints Board (Forbrugerklagenævnet), Nævnenes Hus, Toldboden 2, 8800 Viborg (www.forbrug.dk). Consumers resident elsewhere in the EU may have access to a national alternative dispute-resolution body.
26. General
If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force, and the invalid provision will be replaced by a valid one that comes closest to the intended effect. Our failure to enforce any right is not a waiver of it. These Terms, together with the policies referenced in them, constitute the entire agreement between you and us regarding the Service. You may not assign or transfer your rights or obligations without our consent; we may assign these Terms to an affiliated company or in connection with a merger, reorganisation or sale of business, provided your rights are not adversely affected. We may give notices to you by email or through the Service.
